This questionnaire seeks to help a Board answer the question: "what do we do well and what can we do better?" In addition, Board members can reflect on their individual performance.  The questionnaire has five sections that cover the following areas:

(1) How well the Board has performed

(2) Performance Management

(3) Performance of individual Board members

(4) Risk Management

(5) Feedback to the Chair of the Board

 

These questions are a taster. Board dynamics will change as new Directors are appointed and others move on. Consequently, evaluation should never be seen as an isolated activity.  For quoted companies, the UK Corporate Governance Code requires Annual Board Evaluation in addition to individual Director Evaluation. Although not a legal requirement, a Public Limited Company needs to explain why they are not doing this exercise.

With 40,000 businesses failing every year and thousands of Directors disqualified, the process of evaluating Board performance, Director skills and compliance may not be mandatory but should be a priority.
